We are pleased to announce that funds directly or indirectly serviced by
Advantage Partners (the “AP Funds”) have agreed to sell (the “Transaction”) all its
holdings in FICT Limited (“FICT”) to a consortium formed by funds managed by
MBK Partners K.K. and FormFactor, Inc. (the “Consortium”). The AP Funds and the
Consortium have signed a share purchase agreement related to the Transaction.
All required regulatory and third-party approvals and conditions have been satisfied
and the Transaction is expected to close shortly.

In January 2020, the AP Funds invested in the former Fujitsu Interconnect
Technologies Limited (now FICT), which was established from the business unit of
Fujitsu responsible for the development, design, and manufacture of printed circuit
boards (“PCBs”). Since investing in FICT, the AP Funds have supported the
company through a wide range of value enhancement initiatives, including the
establishment of standalone operations following the carve-out from Fujitsu, a
review of its product portfolio, active investments in growth areas, pricing
adjustments to reflect added value, and efficiency improvements at production sites
through internal DX promotion.

Under the ownership of the AP Funds, FICT has transformed from an electronic
component maker primarily focused on manufacturing PCBs to a leading solution
provider that solves a wide range of customer challenges across the semiconductor
value chain including design, packaging, and testing, and has achieved significant
growth.

We are confident that FICT will leverage the knowledge and expertise of the
Consortium, as new shareholders, to further develop the company into an
“irreplaceable company that supports the global semiconductor value chain through
the integration of substrate technology”.
